Terms of Service

1. Acceptance of Terms

By accessing or using Dealwise at trydealwise.com, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

2. Service Description

Dealwise is a SaaS platform that helps agency owners and sales teams manage sales pipelines, analyze prospects, and generate AI-assisted sales messaging. Features may change over time as we improve the product.

3. Accounts and Responsibilities

• You must be at least 16 years old to use Dealwise.
• You are responsible for maintaining account security and credentials.
• You are responsible for all activity under your account.
• You agree to provide accurate information and keep your account details updated.

4. Subscription, Billing, and Taxes

Paid plans are billed in advance on a recurring basis (monthly or yearly) unless canceled. Payments are processed by Lemon Squeezy, LLC, our Merchant of Record, which may collect and remit applicable taxes on our behalf. Your purchase is also subject to Lemon Squeezy's customer terms where applicable.

5. Cancellation and Refunds

You can cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period — your plan remains active through the time you've already paid for. Refund requests are evaluated on a case-by-case basis and may be governed by Lemon Squeezy refund policies where required.

6. Your Data and Content

You retain ownership of all data and content you enter into Dealwise (including prospect information, notes, and coaching conversations). By using the service, you grant us a limited license to process your content solely to provide and improve the service, including sending data to AI providers for analysis and coaching (see Section 7).

7. AI-Generated Content

Dealwise uses third-party AI services (such as OpenAI) to generate coaching scripts, prospect analysis, and other suggestions. AI-generated content is provided for informational purposes only and should not be treated as professional, legal, or financial advice. You are solely responsible for reviewing and deciding how to use any AI-generated output. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.

8. Acceptable Use

You agree not to misuse the service, including by:

• Violating any applicable laws or regulations.
• Attempting unauthorized access to systems or data.
• Uploading malicious code or abusing platform resources.
• Infringing on intellectual property or privacy rights.
• Using AI features to generate content that is illegal, harmful, deceptive, or violates third-party rights.

9. Intellectual Property

The Dealwise platform, branding, design, and underlying software are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service during your active subscription. This license does not include the right to copy, modify, distribute, or reverse engineer the platform.

10. No Warranty; Limitation of Liability

Dealwise is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties and shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising from your use of the service is limited to the amount you paid us in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your access if these terms are violated or if required for security, legal, or operational reasons. Upon termination, your right to use the service ceases immediately. Sections that by their nature should survive (including limitation of liability, intellectual property, and governing law) will continue to apply.

12. Governing Law

These terms are governed by and construed in accordance with the laws of the jurisdiction in which Dealwise operates, without regard to conflict of law principles. Any disputes will be resolved in the courts of that jurisdiction.

13. Changes to Terms

We may update these terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will notify you via email or an in-app notice. Continued use of Dealwise after updates become effective constitutes acceptance of the revised terms.
